General Terms and Conditions

These Terms and Conditions apply to all offers, quotations, and sales of goods made by OPST GmbH (“Seller”) to business customers (“Buyer”). Consumer transactions are excluded.

All products and services listed on our website are non-binding and for quotation purposes only. A binding purchase contract is concluded only upon written acceptance of a formal quote by the Buyer and written confirmation by the Seller.

Unless otherwise agreed in writing, all goods are sold as is. No warranties are given regarding suitability, merchantability, or fitness for a particular purpose unless explicitly stated in the quote.

Delivery times are provided individually as part of the quotation. All sales are made under Incoterm FCA 37139 Adelebsen, Germany, unless otherwise agreed. Risk passes to the Buyer upon collection or handover to the carrier.

Upon request, the Seller may offer an additional quote for shipping services. All import duties, taxes, and customs clearance costs are the sole responsibility of the Buyer.

All sales are final. Returns or cancellations are excluded unless otherwise agreed in writing.

Unless otherwise agreed, payment shall be made as follows: 50% upon order confirmation; 50% prior to shipment. Alternative payment arrangements may be agreed on a case-by-case basis and require written confirmation by the Seller.

Ownership of the goods shall remain with the Seller until full payment of all amounts due under the contract has been received.

The Seller shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profit or business interruption, unless caused by gross negligence or willful misconduct.

The Seller shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, strikes, supply chain disruptions, or force majeure events.

The Buyer is responsible for complying with all applicable import and export laws and regulations. The Seller assumes no liability for the legal admissibility of the shipment in the destination country or for delays caused by customs procedures.

These Terms shall be governed by and construed in accordance with the laws of Germany. The place of jurisdiction shall be Munich, unless mandatory legal provisions stipulate otherwise.

These Terms and Conditions are provided in English. In case of discrepancies between language versions, the English version shall prevail.

If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect.
